1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you and ClawAgentHQ ("we," "us," or "our") and govern your access to and use of our websites, applications, and services (together, the "Service"). By creating an account, connecting a tool, or otherwise using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, do not use the Service.

2. Description of Service

ClawAgentHQ is a command center for AI agents built on the open-source OpenClaw runtime. The Service lets you deploy, configure, and manage AI agents that monitor your connected tools, retain context, and take action on your behalf, subject to the permissions and autonomy levels you set.

We are continually improving the Service and may add, change, or remove features at any time. Some capabilities depend on third-party tools you choose to connect, and their availability is outside our control.

3. Accounts & Eligibility

To use most features of the Service you must create an account. You agree to provide accurate information, keep it up to date, and safeguard your credentials. You are responsible for all activity that occurs under your account.

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business use, not for personal, household, or consumer purposes. Notify us promptly at hello@clawagenthq.com if you suspect any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for the actions you configure your agents to take. You may not, and may not permit your agents or anyone else to:

• Break the law, infringe intellectual property, or violate the privacy or rights of others;
• Access, probe, or disrupt the Service, its infrastructure, or other users' data without authorization;
• Reverse engineer, resell, or create a competing service from the non-open-source parts of the Service;
• Upload malware, or use the Service to send spam or unsolicited communications;
• Circumvent usage limits, rate limits, or the permissions and autonomy controls you have set;
• Use the Service to generate content that is deceptive, harmful, or intended to harass or defraud.

5. Your Content & Connected Tools

You retain all rights to the data, credentials, and content you provide or that your agents access through connected tools ("Your Content"). You grant us a limited license to process Your Content solely to operate, secure, and improve the Service for you.

You are responsible for having the necessary rights and permissions to connect each tool and to authorize agents to act within it. We do not train shared or foundation models on Your Content, and each customer runs in isolated infrastructure as described in our Security documentation.

6. Intellectual Property

The Service, including its software, design, and content (excluding Your Content and any open-source components), is owned by ClawAgentHQ and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.

OpenClaw and other open-source components are provided under their respective licenses, which govern your use of those components and are not superseded by these Terms. All rights not expressly granted are reserved.

7. Fees & Billing

Paid plans are billed in advance on the cadence shown at checkout (for example, per seat, per month). Unless stated otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for paying.

You authorize us to charge your payment method for all applicable fees. We may change pricing on prospective renewal with reasonable notice. If a payment fails or is overdue, we may suspend or downgrade your access until the balance is resolved.

8. Third-Party Services

The Service integrates with third-party tools and platforms that you choose to connect. Your use of those tools is governed by their own terms and privacy policies, and we are not responsible for their availability, accuracy, or conduct.

You are responsible for maintaining valid credentials and permissions for connected tools. If a third-party service changes or discontinues its integration, the related features of the Service may be affected.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI agents can make mistakes. We do not warrant that the Service will be uninterrupted, error-free, or that agent outputs will be accurate or complete. You are responsible for reviewing agent actions and for maintaining appropriate oversight, especially for high-stakes workflows.

10. Limitation of Liability

To the fullest extent permitted by law, ClawAgentHQ and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of the Service.

Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless ClawAgentHQ and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your connected tools, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, with reasonable notice where practicable.

Upon termination, your right to use the Service ends. We will make Your Content available for export for a limited period and will then delete it in accordance with our Privacy Policy. Sections that by their nature should survive termination will survive.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the date below and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to arbitration or otherwise resolved informally.
